To be considered, all organizations must 1) agree to
Braskem' s anti-corruption clauses and 2) be prepared to provide
Braskem an acknowledgment letter if your organization is awarded
and accepts the Sponsorship or Donation:
Anti-Corruption Requirements
a) Each Party shall comply with all applicable federal, state,
and local statutes, laws, rules, regulations and order in the
performance of this agreement. In addition, each Party
expressly agrees to the provisions of this article incorporated
herein:
b) Each Party represents and warrants that it has reviewed and
understood the Anti-Corruption Laws and that, it will not take,
directly or indirectly, any action that would constitute a
violation of the Anti-Corruption Laws, or otherwise cause the other
Party, its Personnel and/or subsidiaries to be in violation of the
Anti-Corruption Laws.
c) Upon reasonable notice, a Party shall provide such documents
to verify training for compliance with the Anti-Corruption
Laws.
d) Any breach of any representation and warranty contained
herein, failure to comply with article or any violation of the
Anti-Corruption Laws will be deemed to be a breach of this
agreement. Upon written notice of such breach, the
non-breaching Party may terminate this agreement effective
immediately.
e) For purposes of this article the following definitions
apply:
a. "Anti-Corruption Laws" mean any
applicable foreign or domestic anti-bribery and anti-corruption
laws, along with their implementing rules and regulations, as
amended from time to time, including, but not limited to, the U.S.
Foreign Corrupt Practices Act ("FCPA"), the Brazil Clean Company
Act, Law No. 12.846 (2013) ("Clean Company Act"), the UK Bribery
Act 2010 ("UKBA"), and those laws and regulations intended to
implement the OECD Convention on Combating Bribery of Foreign
Public Officials in International Business Transactions.
b. "Personnel" includes the current
officers, directors, employees or agents.
Acceptance, Acknowledgment Letter Requirements (if awarded
by Braskem and subsequently accepted by your organization)
Acceptance of this "Sponsorship" or "Donation" means that
within 30 days of receipt of funds or the event date associated
with the Sponsorship of Donation, you agree to provide Braskem an
acknowledgment letter including:
- Name of the organization;
- Date of receipt;
- Amount of cash contribution; or
- Description (but not value) of non-cash contribution;
- Statement that no goods or services were provided by the
organization, if that is the case;
- Description and good faith estimate of the value of goods or
services, if any, that organization provided in return for the
contribution; and
- Statement that goods or services, if any, that the
organization provided in return for the contribution consisted
entirely of intangible religious benefits if that was the
case.
Additionally, for Sponsorships, provide appropriate evidence of
the commitments made in the Sponsorship proposal (photos of banners
at the event, digital copy of event brochure, news articles,
websites demonstrating Braskem's brand, etc.).
